In these terms and conditions, the following definitions apply:
Contractor: Fresh Ais, located in Amsterdam.
Client: any natural or legal person who enters into an agreement with Fresh Ais.
Agreement: any arrangement between Fresh Ais and the client regarding the delivery of services.
These terms and conditions apply to all quotations, agreements, and services provided by Fresh Ais, unless explicitly agreed otherwise in writing.
Deviations are only valid if expressly confirmed in writing by Fresh Ais.
Fresh Ais provides consulting and automation services in the field of artificial intelligence (AI).
The services include, among others:
analysis of business processes and workflows;
advice on possible AI solutions;
design, configuration, and implementation of automations using no-/low-code tools;
test phases and pilot projects;
documentation, training, and support;
collaboration with external developers when necessary.
All work is performed digitally. Fresh Ais does not carry out physical installations or on-site work unless explicitly agreed otherwise.
Quotations issued by Fresh Ais are without obligation and valid for 30 days unless stated otherwise.
An agreement is formed once the client has accepted a quotation in writing or by email.
If the acceptance deviates from the quotation, Fresh Ais is not bound to it.
Fresh Ais performs the agreement to the best of its knowledge and ability and in accordance with professional standards.
Fresh Ais may engage third parties to perform (parts of) the assignment.
The client shall provide all information, access, and cooperation required for proper execution of the assignment in a timely manner.
Unless agreed otherwise, invoices must be paid within 30 days of the invoice date.
All prices are exclusive of VAT unless stated otherwise.
In case of late payment, the client is in default without further notice, and Fresh Ais is entitled to charge statutory interest and reasonable collection costs.
Fresh Ais may suspend its work if payment is not made on time.
For consultancy, automation, or project-based services, a standard payment schedule of 50% upfront and 50% upon delivery applies unless agreed otherwise in writing.
After full payment, custom solutions and materials specifically developed for the client become the property of the client.
Fresh Ais retains all rights to general concepts, frameworks, methods, templates, and pre-existing software or knowledge used during the assignment.
Without prior written consent, the client may not share or commercially use these general components with or through third parties.
Both parties shall maintain confidentiality regarding all confidential information obtained during the collaboration.
Information is considered confidential if it has been identified as such or if this follows from its nature.
Fresh Ais processes personal data exclusively in accordance with the General Data Protection Regulation (GDPR).
Fresh Ais performs its services to the best of its knowledge and ability but cannot guarantee that the delivered services or advice will be entirely error-free or lead to specific results.
Fresh Ais is only liable for direct damage resulting from intent or gross negligence on its part.
“Direct damage” solely includes:
reasonable costs required to remedy or determine the cause of a shortcoming,
and only to the extent that such damage was directly and demonstrably caused by Fresh Ais.
Fresh Ais is not liable for indirect damage, consequential damage, lost profits, missed savings, loss of data, reputational damage, or damage arising from the use of provided software, automations, or advice.
The total liability of Fresh Ais is limited to the amount paid out by its liability insurance, plus the applicable deductible.
If the insurance provides no coverage, liability is limited to a maximum of €1,000 per assignment, regardless of the number of incidents or parties involved.
Claims for compensation must be submitted in writing and with justification within 14 days of discovering the damage. Claims submitted after this period will lapse.
The client is responsible for the secure management of access credentials, backups, data, and systems. Fresh Ais is not liable for damage caused by improper use or changes made by the client or third parties.
Fresh Ais guarantees that its services will be carried out with care and expertise.
Complaints must be submitted in writing within 30 days of delivery.
Fresh Ais will make reasonable efforts to remedy any shortcomings free of charge.
Either party may terminate the agreement in writing if the other party materially fails to meet its obligations and does not remedy the failure within 30 days after written notice.
Fresh Ais may terminate the agreement immediately if the client is declared bankrupt or applies for suspension of payments.
Upon termination, the client remains obligated to pay for all work performed up to that point.
Fresh Ais is not liable for delays or failure to perform its obligations due to circumstances beyond its reasonable control, including internet outages, power failures, illness, pandemics, or government measures.
All agreements are governed by Dutch law.
Parties will first attempt to resolve disputes through mutual consultation.
If this is not possible, disputes will be submitted to the competent court in Amsterdam.
If any provision of these terms is found to be invalid, the remaining provisions shall remain fully effective.
Fresh Ais may amend these terms; amended terms apply to new agreements after they are published on the website.
