1. Acceptance of Terms

By accessing and using Fresh Ais’s website and services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by these terms, please do not use our services.

These Terms of Service (“Terms”) govern your use of our website located at fresh-ais.com and our AI automation consulting services provided by Fresh Ais, a company based in Amsterdam, Netherlands.

2. Services Description

Fresh Ais provides AI automation consulting and implementation services to help businesses optimize their operations through artificial intelligence and automation technologies. Our services include but are not limited to:

  • Process discovery and analysis
  • Custom AI solution design and development
  • Implementation and deployment of AI systems
  • Training and ongoing support
  • Consulting and strategic guidance

3. Client Responsibilities

As a client of Fresh Ais, you agree to:

  • Provide accurate, complete, and timely information necessary for service delivery
  • Cooperate with Fresh Ais team members during project planning and implementation
  • Make timely payments according to agreed terms and schedules
  • Use implemented solutions in accordance with provided guidelines and documentation
  • Maintain confidentiality of proprietary methodologies and technologies shared by Fresh Ais
  • Provide necessary access to systems and personnel required for project completion
  • Comply with all applicable laws and regulations in your use of our services

4. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

  • Invoices are payable within 30 days of receipt unless otherwise agreed
  • Late payments may incur additional fees as specified in the service agreement
  • Services may be suspended for overdue accounts
  • All prices are exclusive of applicable taxes unless stated otherwise

5. Intellectual Property Rights

Client-Specific Solutions

Custom solutions, implementations, and deliverables developed specifically for a client become the property of the client upon full payment, subject to Fresh Ais’s retained rights in general methodologies and pre-existing technologies.

Fresh Ais Intellectual Property

Fresh Ais retains ownership of:

  • General methodologies, frameworks, and best practices
  • Proprietary technologies and tools used in service delivery
  • Pre-existing intellectual property and know-how
  • Improvements to our general methodologies derived from projects

6. Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during the course of the business relationship. This includes:

  • Business strategies, processes, and proprietary information
  • Technical specifications and implementation details
  • Financial information and commercial terms
  • Personal data and customer information

7. Service Warranties and Disclaimers

Service Warranty

Fresh Ais warrants that services will be performed with reasonable skill and care in accordance with industry standards. We will make reasonable efforts to correct any deficiencies in our services at no additional cost if reported within 30 days.

Disclaimers

EXCEPT AS EXPRESSLY STATED HEREIN, FRESH AIS MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. We do not guarantee specific results or return on investment from AI implementations.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Fresh Ais shall not be liable for any indirect, incidental, special, or consequential damages
  • Our total liability for any claim shall not exceed the amount paid for the specific service in question
  • We are not responsible for delays or failures due to causes beyond our reasonable control
  • Clients are responsible for backing up their data and systems

9. Termination

Either party may terminate a service agreement:

  • With written notice as specified in the individual service agreement
  • Immediately for material breach that remains uncured after 30 days written notice
  • Immediately in case of insolvency or bankruptcy

Upon termination, clients remain responsible for payment of services rendered up to the termination date.

10. Data Protection and Privacy

Fresh Ais is committed to protecting personal data and privacy in accordance with applicable data protection laws, including GDPR. Our handling of personal information is governed by our Privacy Policy, which forms part of these Terms.

11. Service Modifications

Fresh Ais reserves the right to:

  • Modify or discontinue services with reasonable advance notice
  • Update these Terms of Service with notice to existing clients
  • Make changes to service offerings and pricing

Material changes will be communicated to clients in advance and will not affect existing service agreements without mutual consent.

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, government actions, pandemics, or other unforeseeable circumstances.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these Terms or our services shall be resolved through:

  • Good faith negotiation as the first step
  • Mediation if negotiation fails
  • The appropriate courts of Amsterdam, Netherlands, as a last resort

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.
